Another what's it worth question 43 H

Stopped to talk to an old farmer friend today. Said he might concider selling his 43 H (he has a 43 and a 47). Sheet metal is good, rubber poor, all major parts are there. Head is off, had a fresh valve job and was never put back on, stored in the shed for several years. Tractor has set outside with somewhat of a cover over it. Said it ran good when parked except for the valves. Said it also had the M&W kit in it too (saw the pistons, they have a high dome). Bores look corroded, but not unsaveable. Heres the kicker--opened the oil pan petcocks and antifreeze ran out!! What is everybodies best guess what would be fair offer for this H here in the midwest? Don't want to insult him, he's a good friend of mine.
