If the W4 is a late model with the frame rails instead of the bath tub frame, the 300 engine should fit right in. If the W4 has the tub frame, you'll need the front cover from the W4 engine, but I don't know if the W4 front cover is compatible with the timing gears and such of the 300?
 
The W-4 never had frame rails. All W-4, SW-4, I-4, O-4, and OS-4 tractors were the tub type. Only the late W-6 and its derrivities changed to the frame rails.

Yes, they both use the C-152, just have a few different changes between the W-4 and H. The W-4 has a different timing cover and the governor arm is different. A few of the parts on the outside are slightly different, but it is pretty much the same engine as the H.
